A private equity firm found its exit in a corporate buyer on Monday.

GE HealthCare said it agreed to acquire SOFIE Biosciences from Trilantic North America for $945 million in cash. SOFIE is a U.S. contract manufacturer of PET radiopharmaceuticals, the short-lived radioactive agents injected into patients for positron emission tomography scans. The purchase also brings U.S. rights to FAPI-74, a PET imaging agent in Phase 3 trials.

The deal is expected to close in the first half of 2027, subject to regulatory approvals.

Why manufacturing matters here

PET radiopharmaceuticals decay quickly, which means they must be produced close to where they are used and delivered within hours. That makes manufacturing capacity and delivery as important as the agent itself. Buying SOFIE gives GE HealthCare control of supplying the imaging agents that go into patients, a link the company framed as the final mile.

The seller

Trilantic North America manages seven fund families with $11.6 billion of raised capital commitments. Its return will depend on what it paid for SOFIE, a figure that has stayed private. The $945 million, all in cash, is the headline purchase price.

Exits in focus

A strategic buyer can often pay more than a financial one because it expects savings or revenue that only it can capture.

For GE HealthCare, the deal is a bolt-on. For Trilantic, it is a completed exit with cash at closing, subject to regulators.

What to watch

Regulatory review is the main step before closing. FAPI-74's late-stage trial results will determine how much of the purchase price rests on manufacturing and how much on the tracer's commercial potential.
