The buyout firm's agreement to acquire Accelerant Holdings marks one of its larger insurance-sector commitments, taking the specialty platform out of public markets.

Thoma Bravo has agreed to take Accelerant Holdings private in a transaction valued at approximately $4.05 billion. The deal removes the specialty insurance platform from public markets and places it under the ownership of a firm best known for large-scale software and technology-enabled services buyouts.

Accelerant connects specialty insurance underwriters with capital providers, a model that sits at the intersection of insurance distribution and technology infrastructure. That hybrid structure can offer recurring, fee-like revenue streams without requiring a private equity owner to take the same underwriting risk as an insurer writing policies directly onto its own balance sheet.

A $4.05 billion price tag puts the transaction among the larger insurance-sector take-privates of the year and adds another example of sponsor appetite for insurance infrastructure and distribution platforms rather than pure underwriting exposure.
