Moody's and S&P both cut the company after it leaned on a 30-day window rather than making its September 1 interest payment. The window closes around October 1.

Getty Images invoked the 30-day contractual grace periods on interest due September 1 on two note series, its 9.750% senior notes due 2027 and its 14.000% senior notes due 2028, in an 8-K filed August 31. Moody's and S&P have since cut the company's credit rating following that reliance on the grace period, and Getty has said it is exploring capital solutions with a majority of its noteholders.
Using a grace period is not a default. It is, however, a disclosure, and the rating agencies have now read it the way agencies generally read it, as evidence about liquidity rather than about intent. That is the material change in this situation since the 8-K, and it is what moves Getty from a company with a scheduled payment question to a company with a downgraded capital structure and a scheduled payment question.
Three outcomes are available by roughly October 1, and they are genuinely different for holders. Getty pays within the window, in which case the episode reads in hindsight as deliberate liquidity management and a negotiating position. The window lapses, in which case a formal payment default crystallizes on two series at once. Or a superseding transaction is announced first, which is what "exploring capital solutions with majority noteholders" points toward.
The third path is where the equity and the debt separate. A rights offering, a debt-for-equity exchange or a covenant amendment negotiated with a majority noteholder group resolves the payment question and typically does so at the expense of existing shareholders. Separately, an investor group including Koch and the Getty family has filed Schedule 13D amendments that explicitly reserve the right to discontinue discussions at any time, which is standard language and also a reminder that no party is committed to any of this.
Nothing in the downgrades tells investors which of the three lands. The 8-K set the date, and roughly three weeks remain on it.
