The recommended cash offer values the diagnostics company at about 10.8 billion euros including debt and carries a 40.3% premium to the share price before takeover interest surfaced in July. Qiagen closed Wednesday at 42.80 euros; the offer is 8.6% above that.
Qiagen's share price already reflects most of this deal's premium. The question now is whether the structure gets it done this time.
Qiagen and EQT signed a business combination agreement on Wednesday, announced after the close of Frankfurt's Xetra trading. A bidding company owned by the EQT XI fund, with Abu Dhabi Investment Authority and CPP Investments as co-investors, will make a recommended voluntary offer of 46.50 euros a share in cash. The companies put the enterprise value at about 10.8 billion euros, or about $12.1 billion, including about $1.1 billion of net debt.
How much of the premium is left
The 40.3% premium is measured against Qiagen's Xetra close of 33.15 euros on July 8, before interest in the company became public. Qiagen closed Wednesday at 42.80 euros. Of the 13.35-euro gap between the July price and the offer, 9.65 euros, or about 72%, was already in the stock before the deal was signed. Holders buying at Wednesday's close stand to gain 8.6% if the offer completes. Qiagen's New York-listed shares closed Wednesday at $50.00, up 2.3%, and traded slightly higher before the open on Thursday.
That is a modest spread for a deal expected to close in mid-2027, and it reflects terms that reduce the risk of failure.
Built not to fail
Thermo Fisher Scientific's 2020 offer for Qiagen collapsed after it fell short of its acceptance threshold. EQT's offer sets its minimum acceptance at 50% plus one share. A second threshold, 80% of votes cast at a shareholder meeting, applies to the measures needed after closing to take full control. The board can proceed on "substantial majority" support, weighing the presence of event-driven funds that bought after the announcement.
Financing is committed from six banks, Morgan Stanley, Jefferies, Deutsche Bank, SMBC, Credit Agricole and UniCredit, and the offer has no financing condition. If regulatory approvals delay closing beyond 10 months, Qiagen shareholders can receive an interim dividend of up to $0.47 a share.
The bank commitment matters in the current market. More than $5 billion of U.S. and European bond and loan sales have been postponed this month as yields rose, the most this year, according to market tallies. A take-private of this size with committed bank financing is a sign that lenders are still willing to back large buyouts.
What is not known
The size and terms of the debt, the equity split among EQT and its co-investors, break fees and any commitments from major shareholders have not been disclosed. Neither has the outcome for KKR, which had also been reported as a bidder.
What to watch
German regulator BaFin's approval of the offer document, which opens the acceptance period; the date of the shareholder meeting; and whether event-driven funds accumulate enough stock to test the 80% threshold.
