Blackstone Sells ZO Skin Health to Galderma for $1.5 Billion. The Buyer Plans a Year of Spending Before Growth Resumes

The all-cash deal values the physician-dispensed skincare brand at about 4.5 times its trailing sales of roughly $330 million. Galderma says it will raise commercial investment in the first year to lay the groundwork for "renewed growth" from the second.

Blackstone has found its exit from ZO Skin Health. The buyer's own plan suggests the brand it is selling needs work.

Galderma said Wednesday it will buy all of ZO Skin Health from owners that include the Obagi family and funds run by Blackstone Tactical Opportunities, for an enterprise value of $1.5 billion in cash, subject to customary adjustments. The Swiss-listed skincare company will pay with existing cash and bank financing. Regulators still have to approve, and closing is targeted for the final quarter of this year or early 2027.

What Galderma is buying

ZO's products reach patients through doctors, medical spas and online sellers, more than 16,500 accounts across over 40 countries. Over the year to June, the brand sold about $330 million of product. At $1.5 billion, Galderma is paying roughly 4.5 times those sales. Neither company disclosed ZO's earnings, so a multiple of profit cannot be calculated.

Galderma expects the purchase to be neutral to its core earnings per share in the first full year after closing, slightly dilutive to its 2027 core margin on earnings before interest, taxes, depreciation and amortization, and broadly in line with the group average from 2028. Galderma said it can do the deal and keep a solid investment-grade rating.

Doubling, then a reset

The seller and the buyer describe ZO's trajectory differently. "We are proud to have partnered with Dr. Obagi and the ZO Skin Health team during an important period of growth when the company more than doubled its revenue," Blackstone's Shary Moalemzadeh said.

Galderma's plan reads as a reset. It intends to "increase commercial investment during the first year of ownership to strengthen the foundation for renewed growth beginning in the second year following closing."

Both statements can be true. Revenue can double over six years and still slow before a sale. Neither company gave ZO's recent growth rate.

What the sponsor earned

Blackstone's Tactical Opportunities funds took a majority stake in ZO in 2020 on terms that were not disclosed. Its entry price, the size of its stake and its proceeds from this sale have not been made public, so the return on the investment cannot be measured. The $1.5 billion is the value of the whole company, including any debt, not the amount Blackstone receives.

Blackstone sold through an auction with Citi and Raymond James as bankers, Raymond James in the lead. Galderma's side was led by Lazard.

A pattern in sponsor exits

The deal adds to a run of private-equity exits to corporate buyers rather than to other funds or the public markets. A strategic buyer with its own sales force can justify paying for revenue it expects to grow inside a larger platform, which matters when a brand's growth has slowed under sponsor ownership.

Galderma shares were little changed in early trading in Zurich.

Market implications

One reading is that Blackstone got a full price and a simple exit. A sponsor that more than doubled revenue sold to a strategic buyer for 4.5 times sales, all cash, with the buyer funding the deal without issuing stock.

A second reading is that the buyer is paying for a turnaround. Galderma expects margin dilution in 2027 and growth only from the second year, which suggests the sales line it is buying needs reinvestment before it delivers.

What to watch

Regulatory approvals and the closing date, Galderma's first disclosures on ZO's sales after the deal closes, and whether Blackstone reports the realization in its fund results will fill in what the announcement left out.
