Hyperliquid Strategies expanded its equity facility to $2.5 billion for token purchases, but a Nasdaq pricing rule caps how much it can actually raise at current share levels.

Hyperliquid Strategies, a Nasdaq-listed company that holds HYPE tokens, increased its equity purchase facility with Chardan Capital Markets from $1 billion to $2.5 billion in a filing made September 1, saying the added capacity would support general corporate purposes, including potential HYPE purchases.

The expanded ceiling comes with a real constraint. Nasdaq rules cap how many shares a company can sell below a certain price once it has raised $1 billion in proceeds, and that threshold sits at $12.02 a share. Hyperliquid Strategies closed at $11.36 on the announcement date, below that level, meaning a meaningful share of the new capacity isn't accessible at current prices.

The move extends a thread already under scrutiny: Hyperliquid, the exchange whose native token the company is buying, has separately disclosed a Lazarus Group-linked transaction and is in talks over U.S. regulatory treatment. Whether the facility increase reads as confidence in continued token accumulation or a defensive capital cushion against that overhang will keep being tested by the company's own trading levels.
